Terms of Service

These Terms govern your use of Utterdeck. Please read them carefully. If you do not agree, do not create an account and do not use the service.

1. Who we are

Utterdeck is operated by Privesc.Eu Web SRL, a Romanian limited liability company.

In these Terms, "we", "us", and "Utterdeck" refer to Privesc.Eu Web SRL acting in its capacity as operator of the Utterdeck service. "You" means the individual or legal entity that accepts these Terms.

2. Acceptance

You accept these Terms by creating an account on Utterdeck, by signing in, or by using any part of the service. If you are using the service on behalf of a company or other entity, you represent that you have the authority to bind that entity.

3. The service

Utterdeck listens to a presenter's live microphone audio, sends it to a third-party AI provider (Google Gemini) for transcription and cartoon-slide generation, and displays those slides to the presenter's audience through a shared link. Presenters may optionally have their audio stored for later replay. Slides are generated programmatically at intervals configured by the presenter (typically every 30 seconds).

4. Account

You must provide a valid email address when creating an account and keep it accurate. You are responsible for maintaining the confidentiality of your password and for all activity under your account. Do not share accounts.

Minimum age: 16. The service is not intended for, and must not be used by, individuals under sixteen (16) years of age. If we learn that an account belongs to a user under 16, we will terminate it and delete associated data.

5. Acceptable use

When you use Utterdeck, you agree not to:

We may suspend or terminate accounts that violate these rules, with or without notice, and remove offending content.

6. Your content and AI-generated content

The microphone audio you stream through Utterdeck is your content. You retain ownership of it. By using the service, you grant Utterdeck a limited, non-exclusive, worldwide, royalty-free licence to receive, process, and transmit that audio for the purpose of running the service — specifically: sending it to Google Gemini for transcription, generating slides from the resulting text, storing session metadata, and delivering slides to your audience.

Slides generated from your audio are derivative works; they are yours to use, subject to our right to display them during the live session and (if you opted in) in replay.

Important AI disclaimer. Slides are generated automatically by a third-party AI model. They may misinterpret, mis-caption, stylize, or omit parts of what you said. They may also produce visual content that does not precisely match your intent. You are responsible for what your audience sees; do not rely on Utterdeck for critical, regulated, medical, legal, or safety-sensitive communications where AI inaccuracy could cause harm.

7. Payments

Slide credits are sold as prepaid packages through Stripe. Prices, package sizes, and the per-slide rate are displayed on the Top-Up page inside your dashboard. Prices are shown in the currency listed at checkout.

Credits are non-refundable once credited to your account. Errant duplicate charges may be refunded on a case-by-case basis — contact support@utterdeck.com as soon as you notice the duplicate. There is no auto-renewal; credits persist on your account until used or until the account is closed.

We may change pricing and credit mechanics with 30 days' advance notice by email to account holders and on the Top-Up page.

8. Free tier and the referral QR

The free tier is supported by a small QR code rendered alongside each slide that links back to Utterdeck. Purchasing slide credits removes the QR overlay. You may not obscure, bypass, or alter the QR overlay on the free tier; see § 5.

9. Availability

We provide the service on a best-effort basis. Scheduled maintenance and outages at our third-party providers — including Google (Gemini), Stripe, Microsoft (Azure Blob Storage), and Cloudflare — may occasionally interrupt the service. We do not offer an uptime SLA on consumer plans.

10. Suspension and termination

We may suspend or terminate your account for breach of these Terms, for suspected fraud, or to comply with a legal obligation. You may terminate your account at any time by emailing support@utterdeck.com. Unused prepaid credits are forfeited on voluntary termination — again: non-refundable.

11. Warranty disclaimer

To the maximum extent permitted by applicable Romanian law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. Nothing in this Section limits your statutory consumer rights under Romanian law (including Government Emergency Ordinance 34/2014 and the Romanian Civil Code) where those rights cannot be waived by contract.

12. Limitation of liability

To the maximum extent permitted by law, Utterdeck's total aggregate liability to you for any claim arising out of or related to the service is capped at the greater of €100 or the amount you paid to Utterdeck in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, punitive, or special damages, nor for lost profits, lost revenue, lost data, or business interruption, even if we were advised of the possibility of such damages.

The cap in this Section does not apply to liability that cannot lawfully be limited, including liability for gross negligence, wilful misconduct, death or personal injury caused by our negligence, or statutory consumer-protection remedies.

13. Indemnification

You agree to indemnify and hold harmless Privesc.Eu Web SRL and its personnel against any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) the audio or other content you submit through the service, (b) your breach of these Terms, or (c) your violation of any third-party right or applicable law.

14. Changes to the service and to these Terms

We may modify the service at any time to add, remove, or change features. We will give at least 30 days' notice — by email to account holders and by publication on the site — before any material change to these Terms takes effect. Continued use of the service after the effective date of a change constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by the laws of Romania, without regard to conflict-of-laws rules. Any dispute arising out of or related to these Terms or the service shall be resolved by the competent courts in Bucharest, Romania. If you are a consumer resident in the European Union, this clause does not deprive you of the protections afforded by mandatory consumer-protection rules in your country of residence, and you may bring proceedings in your local courts where EU law so permits.
